By accessing or using Code Clue's website, platform, or any of our services (collectively, "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our Services.

These Terms apply to all visitors, users, clients, vendors, freelancers, and others who access or use our platform. Code Clue is operated by HN Digital Education Private Limited, registered in India.

Code Clue is a B2B digital marketplace and IT services platform that:

• Connects businesses with verified IT service providers, freelancers, and software vendors
• Offers custom IT consulting, software development, cloud, AI/ML, and digital marketing services
• Hosts and sells software products via our digital marketplace
• Provides the Digital Launch Kit — an all-in-one digital presence package for new businesses

We reserve the right to modify, suspend, or discontinue any part of our Services at any time without prior notice.

To access certain features of the platform, you may be required to register for an account. When registering, you agree to:

• Provide accurate, current, and complete information
• Maintain the security of your password and account
• Promptly update your account information if it changes
• Accept responsibility for all activities that occur under your account

We reserve the right to suspend or terminate accounts that violate these Terms or engage in fraudulent activity.

Service providers listed on Code Clue (vendors, freelancers, companies) must comply with all applicable laws and our platform guidelines. You agree to:

• Provide accurate descriptions of your services, skills, and pricing
• Deliver services as described and within agreed timelines
• Maintain professional conduct and communication at all times
• Not solicit clients off-platform to circumvent our fee structure
• Not misrepresent qualifications, certifications, or reviews

As a client using Code Clue to hire services or purchase products, you agree to:

• Pay for services and products as agreed at the time of purchase or contract
• Provide clear, accurate project requirements and feedback
• Not request services that are illegal, unethical, or violate third-party rights
• Use deliverables only for lawful purposes within the scope of the engagement

All payments on the Code Clue platform are processed through our secure payment gateway. By making a payment, you confirm that:

• You are authorized to use the payment method provided
• The payment information is accurate and complete
• You agree to our pricing, including any applicable platform fees

Prices for services and products are listed in Indian Rupees (INR) unless stated otherwise. All prices are inclusive of applicable GST unless marked as "+GST".

All content on Code Clue — including text, graphics, logos, software code, product descriptions, and branding — is the property of HN Digital Education Private Limited or its licensors, and is protected under Indian and international intellectual property laws.

Custom deliverables produced by vendors or freelancers through the platform are governed by the individual project agreements. Unless otherwise agreed in writing, full IP rights transfer to the client upon final payment.

You may not use the Code Clue platform to:

• Post false, misleading, or defamatory content
• Upload malware, viruses, or any harmful code
• Scrape, crawl, or harvest data from the platform without permission
• Attempt to hack, gain unauthorized access, or disrupt platform operations
• Engage in spam, phishing, or fraudulent activities
• Violate any applicable local, national, or international law

To the fullest extent permitted by law, Code Clue and HN Digital Education Private Limited shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the platform or services.

Our total liability to you for any claim arising out of your use of the Services shall not exceed the amount you paid to Code Clue in the 3 months preceding the claim.

We reserve the right to terminate or suspend your access to the platform at our sole discretion, without notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties. Upon termination, your right to use the platform ceases immediately.

These Terms are governed by and construed in accordance with the laws of India. Any disputes arising out of or relating to these Terms shall first be attempted to be resolved through good-faith negotiation.

If negotiation fails, disputes shall be subject to the exclusive jurisdiction of the courts located in Noida, Uttar Pradesh, India.

We may update these Terms from time to time. We will notify users of significant changes via email or a prominent notice on the platform. Your continued use of the Services after changes take effect constitutes your acceptance of the updated Terms.
